1. Agreement
These Terms of Service (the "Terms") are a contract between you (and the organization you represent) and Navium. If you use Navium on behalf of an organization, you represent that you have authority to bind that organization.
2. The service
Navium provides a hosted customer-relationship platform for investment fund managers. We may update, improve, or change features over time. We'll give reasonable notice of material changes that adversely affect your use.
3. Accounts & access
- You're responsible for safeguarding your login credentials and for activity under your account.
- You must provide accurate account information and keep it current.
- You're responsible for your team members' use of the workspace.
4. Your data
You retain all rights to the data you put into Navium ("Customer Data"). You grant us a limited license to host, process, and display it solely to provide and improve the service for you. We will not access your Customer Data except as needed to operate the service, provide support, or comply with law. See our Privacy Policy and Security page.
5. Acceptable use
You agree not to: (a) use the service unlawfully or to store unlawful content; (b) attempt to breach or probe security or access other tenants' data; (c) reverse engineer or resell the service except as permitted; or (d) interfere with the service's operation.
6. Fees & payment
Paid plans are billed in advance on the cycle stated at purchase (typically annual). Fees are non-refundable except where required by law. We'll give notice before any price change affecting your renewal. Plan details are described on our pricing page.
7. Term & termination
You may cancel at any time; access continues through the end of your paid period. We may suspend or terminate access for material breach of these Terms. On termination, you may export your Customer Data for a reasonable period, after which we may delete it.
8. Disclaimers
The service is provided "as is." To the maximum extent permitted by law, Navium disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Navium is a tool to support your decisions — it does not provide investment, legal, or financial advice.
9. Limitation of liability
To the maximum extent permitted by law, Navium will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim.
10. Changes to these terms
We may update these Terms from time to time. We'll post the updated version here and update the "last updated" date; continued use after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules.
